Motionstyles License Agreement

Welcome to Motionstyles

This Motionstyles License Agreement ("License") is a legally binding agreement between you ("Licensee," "you," or "your") and Kovar Digital LLC, doing business as Motionstyles ("Motionstyles," "we," "us," or "our"), governing your use of digital assets ("Items") downloaded from Motionstyles.

This License supplements and forms part of the Motionstyles Terms of Service. If there is an inconsistency between this License and the Terms of Service, this License will prevail to the extent necessary to resolve the inconsistency.

1. Definitions

"Item" means any digital asset available for download on Motionstyles, including but not limited to video templates, motion graphics templates, After Effects templates, Premiere Pro presets, stock footage, music tracks, sound effects, fonts, graphics, illustrations, photos, and other creative assets.

"End Product" means the final work you create using an Item, which incorporates the Item along with other creative elements, requiring the application of time, skill, and effort, so that it is larger in scope and different in nature than the Item itself.

"Subscription" means your active paid membership to Motionstyles, which grants you access to download and use Items according to the terms of this License.

"Commercial Use" means any use that involves an exchange of money or other consideration, promotes a business or service, or where financial gain is either sought or results, directly or indirectly, from your use of the Item.

2. License Grant

2.1 What You Get

Subject to the terms of this License and while your Subscription remains active, Motionstyles grants you a worldwide, non-exclusive, non-transferable license to:

  • Download Items from the Motionstyles platform
  • Use Items to create End Products for personal or commercial purposes
  • Modify, customize, and incorporate Items into your End Products

2.2 License Scope

For Video Templates, Motion Graphics, Stock Footage, Audio, and Graphics:

  • Each download grants you the right to use that Item in one End Product
  • If you want to use the same Item in multiple End Products, you must download it separately for each End Product
  • You may create unlimited iterations, versions, and revisions of a single End Product

For Fonts and Add-ons (Presets, Plugins, Extensions):

  • You may install the Item on up to two devices per subscription
  • Once installed during an active Subscription, you may use the Font or Add-on to create unlimited End Products
  • Installation and use of Fonts and Add-ons is only permitted while your Subscription remains active

2.3 Perpetual End Product Rights

Once you have completed an End Product during an active Subscription, your license to that specific End Product becomes perpetual. This means:

  • You can continue to use, display, and distribute that completed End Product even after your Subscription ends
  • The perpetual license only applies to End Products that were fully completed and published while your Subscription was active
  • You cannot start new projects using Items after your Subscription ends

3. What You Can Do With Items

3.1 Commercial and Personal Use

You may use Items for both commercial and personal projects, including:

  • Client projects and freelance work
  • Business marketing materials and advertisements
  • YouTube videos, social media content, and online platforms
  • Films, videos, and multimedia productions (with limitations on theatrical release)
  • Broadcast and streaming content (with limitations, see Section 3.6)
  • Websites, presentations, and digital products
  • Product packaging and printed materials (up to 500,000 copies)
  • Physical advertisements for local, national, and global distribution

3.2 Client Work and Transfer

  • You may create End Products for clients using Items
  • When you deliver an End Product to a client, you sublicense the rights to use that specific End Product
  • Your client may only use the End Product as delivered and cannot extract or reuse the Item separately
  • You must inform clients that they cannot use the underlying Item for other purposes
  • To use the same Item in a different project, you or your client must download it again under a separate license

3.3 Modification Rights

  • You may modify, customize, edit, and manipulate Items to create your End Product
  • You may combine Items with other assets and creative works
  • Modified Items remain subject to this License and do not become your exclusive property

3.4 Multiple Copies and Distribution

  • You may make unlimited copies of your End Product
  • You may distribute your End Product through multiple channels and platforms
  • Distribution rights apply only to the End Product, not the Item itself

3.5 Print Run Limitations

  • For physical printed materials (brochures, packaging, promotional materials, etc.), you may produce up to 500,000 copies per End Product
  • If you need to exceed 500,000 copies, please contact thomas@motionstyles.com for extended licensing

3.6 Music and Audio Specific Terms

Broadcast Limitations:

  • Music Items cannot be used in traditional television or radio broadcasts (terrestrial, cable, satellite TV, or broadcast radio)
  • Music Items cannot be used in streaming television, IPTV, video-on-demand, or streaming radio services
  • If you need to use music in broadcast media, please contact thomas@motionstyles.com

Theatrical Film Limitations:

  • Music Items cannot be used in films intended for general theatrical release
  • You may use music in independent films, student films, film festival screenings, and films distributed on online platforms

Performance Rights Organizations (PRO):

  • Some music Items may be registered with Performance Rights Organizations
  • If an Item is PRO music, public performance rights are not included in this License
  • You may need to obtain additional performing rights from a PRO and pay associated fees
  • Check the Item's description or documentation for PRO status
  • Non-PRO music is generally not subject to additional fees, but you are responsible for any performing rights fees that may apply in your jurisdiction

Content ID and Ownership:

  • You cannot claim ownership of music Items through Content ID or similar systems
  • The original author retains ownership of all Items
  • You have a license to use the music, not ownership of the composition or recording

4. What You Cannot Do With Items

4.1 Redistribution Prohibited

You cannot:

  • Redistribute, resell, or sublicense Items as standalone files
  • Share Items in their original or modified form as stock assets
  • Make Items available for download by others, whether free or paid
  • Include Items in any library, collection, or stock media product
  • Bundle Items with other products for distribution
  • Upload Items to competing stock or template marketplaces

4.2 Merchandising Restrictions

You cannot use Items for merchandising where the primary value of the product comes from the Item itself, including:

  • Printing an Item directly onto products (t-shirts, mugs, posters, phone cases) without significant additional creative work
  • Products where the Item is the main element and the product derives its primary value from the Item
  • Products where the Item serves as the core component without substantial transformation

Allowed Merchandising:
Items may be used for merchandising when:

  • Significant time, skill, and effort have been applied to incorporate the Item into a larger design
  • The Item is combined with substantial additional elements (text, graphics, other images)
  • The product's value comes primarily from the overall creative work, not the Item alone
  • Example: A book cover design using an Item as part of a larger composition is allowed; printing an Item alone on a poster is not

4.3 Template and Tool Restrictions

You cannot:

  • Include Items in electronic templates for use by third parties (website templates, presentation templates, email templates)
  • Use Items in "made to order," "print on demand," or "build it yourself" applications where end users customize products
  • Allow end users to extract, customize, or manipulate Items directly
  • Create derivative products that compete with Motionstyles or similar marketplaces

4.4 Trademark and Branding Restrictions

You cannot:

  • Use Items as trademarks, service marks, or logos without significant modification
  • Claim ownership of Items or register Items for trademark protection
  • If you incorporate an Item into a logo, it must be modified and not the dominant element
  • You must disclaim the Item if registering your logo for trademark protection

4.5 Automated Use Restrictions

You cannot:

  • Use automated systems, bots, or scripts to download Items
  • Download Items in bulk for future use without a specific, immediate project
  • Warehouse or aggregate Items for contingent future use
  • Exceed 150 downloads per day per account

4.6 Account Sharing Prohibited

You cannot:

  • Share your account credentials with others
  • Allow multiple people to use a single subscription
  • Transfer Items or your subscription to another person
  • Each user must have their own individual subscription

4.7 Fonts and Add-ons Specific Restrictions

For Fonts and Add-ons, you additionally cannot:

  • Transfer or share Fonts or Add-ons with anyone else, including team members or clients
  • Publicly distribute, display, or perform Fonts or Add-ons
  • Redistribute Fonts or Add-ons as part of an End Product (though you may distribute text or designs created using them)
  • Use web fonts in ways that allow users to extract or download the font files
  • Install Fonts or Add-ons on more than two devices per subscription
  • Continue using Fonts or Add-ons after your subscription ends (you must uninstall them)

4.8 AI and Machine Learning Restrictions

You cannot:

  • Use Items for training artificial intelligence or machine learning models
  • Use Items in generative AI systems or services
  • Extract data from Items for AI purposes
  • Use Items in any automated content generation systems

4.9 Prohibited Content and Uses

You cannot use Items:

  • In connection with pornographic, obscene, or adult content
  • In ways that are illegal, defamatory, offensive, or promote discrimination
  • To defame, harass, or harm any person, group, race, religion, or culture
  • In false or misleading political content or election misinformation
  • To create deepfakes or impersonate real individuals
  • In ways that falsely imply endorsement by persons depicted in Items
  • To violate any applicable laws, regulations, or third-party rights

5. License Lifecycle

5.1 When Your License Begins

Your license for an Item begins when you download that Item while your Subscription is active.

5.2 Active Subscription Requirements

  • You must have an active paid Subscription to download and use Items
  • You cannot download new Items after your Subscription ends or is terminated
  • You must uninstall Fonts and Add-ons when your Subscription ends

5.3 Completed End Products

  • End Products completed and published during an active Subscription retain perpetual license rights
  • "Completed" means the End Product is finished and has been published, distributed, or delivered to a client
  • You may continue to use, display, and distribute completed End Products after your Subscription ends
  • You cannot modify or create new versions of End Products using Items after your Subscription ends

5.4 After Subscription Ends

When your Subscription ends, you:

  • CAN continue to use, display, and distribute End Products that were completed during your active Subscription
  • CANNOT start new projects using Items
  • CANNOT download new Items or re-download previously downloaded Items
  • MUST uninstall all Fonts and Add-ons from your devices
  • CANNOT modify existing End Products if such modification requires accessing or using the Items

6. Special Item Types

6.1 Items with Multiple Assets

If an Item contains multiple assets (such as a pack of icons, collection of textures, or bundle of templates):

  • You may use multiple assets from the pack in a single End Product with one download
  • If you want to use assets from the pack in separate End Products, you must download the Item separately for each End Product

6.2 Third-Party Components

Some Items may contain components sourced from third parties or subject to open-source licenses:

  • Third-party license terms will be identified in the Item's description or included files
  • Third-party licenses apply to those specific components
  • This Motionstyles License applies to all other components
  • You are responsible for complying with any third-party license terms

6.3 Editorial Use Items

Some Items (particularly stock footage and photos) may be labeled "Editorial Use Only":

  • Editorial Use Items contain people, locations, or trademarks without commercial releases
  • You may only use Editorial Use Items in news, commentary, education, or similar non-commercial contexts
  • You cannot use Editorial Use Items to promote products, services, or brands
  • Check the Item's description for editorial restrictions

6.4 Model and Property Releases

  • Items containing images of people or private property may or may not include model/property releases
  • Even with a release, you cannot use Items in ways that imply personal endorsement
  • You cannot use Items with recognizable people in connection with sensitive, controversial, or unflattering subjects
  • You are responsible for ensuring appropriate use of Items containing people or property

7. Creator and Subscription Rights

7.1 Free Creator Subscriptions

  • Approved creators receive complimentary access to the Motionstyles library
  • Creator subscriptions are subject to the same License terms as paid subscriptions
  • Creators may use Items for personal and commercial projects
  • Creators cannot share their access with non-creators

7.2 Free Downloads and Promotional Content

  • Some Items may be marked as "Free" and available to non-subscribers
  • Free downloads are subject to the same License terms
  • Free downloads count toward creator earnings through the free content pool

8. Ownership and Rights

8.1 Intellectual Property

  • Motionstyles and its creators retain all ownership and intellectual property rights in Items
  • You receive a license to use Items, not ownership
  • Copyrights remain with Motionstyles or the Item's creator
  • You cannot claim authorship or ownership of Items

8.2 End Product Rights

  • You own the End Products you create using Items
  • Your ownership is subject to the underlying license rights in the Items
  • You cannot transfer or sublicense your rights under this License except as specifically permitted

9. Warranties and Disclaimers

9.1 Your Responsibilities

You represent and warrant that:

  • Your use of Items will comply with all applicable laws and regulations
  • You will not use Items in ways that infringe third-party rights
  • You have the authority to enter into this License
  • You will use Items only as permitted under this License

9.2 Item Disclaimer

ITEMS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. MOTIONSTYLES MAKES NO WARRANTIES REGARDING:

  • The quality, accuracy, or suitability of Items
  • Compatibility with your hardware, software, or projects
  • That Items are error-free or will meet your requirements
  • That demonstration content in Items is properly licensed

MOTIONSTYLES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.3 Third-Party Content

  • We are not responsible for third-party components included in Items
  • Demonstration content (photos, music, etc.) used to showcase an Item may be sourced from third parties
  • You are responsible for reviewing Items before use to ensure proper licensing of all components

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

10.1 No Consequential Damages

MOTIONSTYLES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

  • Lost profits or revenue
  • Loss of data or business information
  • Business interruption
  • Cost of substitute services
  • Any other pecuniary loss

ARISING FROM OR RELATED TO YOUR USE OF ITEMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Liability Cap

MOTIONSTYLES' TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS RELATED TO THIS LICENSE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR SUBSCRIPTION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Motionstyles, Kovar Digital LLC, and our directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of Items
  • Your breach of this License
  • Your violation of any laws or third-party rights
  • End Products you create using Items
  • Any negligent or intentional acts by you or those acting on your behalf

12. Term and Termination

12.1 Term

This License remains in effect for each Item as long as specified in Section 5 (License Lifecycle).

12.2 Termination by Motionstyles

We may terminate your license to any or all Items immediately if:

  • You breach any term of this License or the Terms of Service
  • You engage in fraudulent or abusive behavior
  • Required by law or legal process
  • At our discretion for violations of community standards

12.3 Effect of Termination

Upon termination:

  • You must immediately stop using the terminated Items
  • You must cease creating new End Products with terminated Items
  • You must uninstall all Fonts and Add-ons
  • Completed End Products created before termination may continue to be used and distributed as permitted in Section 5.3
  • You are not entitled to any refund except as provided in the Terms of Service

12.4 Survival

Sections 8 (Ownership), 9 (Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (General Terms) survive termination.

13. General Terms

13.1 Changes to This License

We may modify this License at any time. We will post the updated License on our website with a new "Last Updated" date. Continued use of Motionstyles after changes constitutes acceptance of the revised License. Changes will apply to Items downloaded after the effective date of the changes.

13.2 Governing Law

This License is governed by the laws of the State of Minnesota, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Douglas County, Minnesota, and you consent to the jurisdiction of such courts.

13.3 Entire Agreement

This License, together with the Motionstyles Terms of Service, constitutes the entire agreement between you and Motionstyles regarding Items and supersedes any prior agreements or understandings.

13.4 Severability

If any provision of this License is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.5 No Waiver

Our failure to enforce any provision of this License does not constitute a waiver of that provision or any other provision.

13.6 Assignment

You may not assign or transfer this License without our written consent. We may assign this License to any successor or affiliate without restriction.

13.7 Independent Contractors

You and Motionstyles are independent contractors. This License does not create any partnership, joint venture, employment, or agency relationship.

13.8 Notices

Notices to you may be provided via email to your account email address or through the Motionstyles platform. Notices to us should be sent to:

13.9 Audit Rights

We reserve the right to audit your use of Items to verify compliance with this License. You agree to provide reasonably requested information and records to facilitate such audits.

  • Always check for Editorial Use restrictions and PRO music limitations

By downloading and using Items from Motionstyles, you acknowledge that you have read, understood, and agree to be bound by this License.
